These Terms of Service ("Terms") govern your access to and use of the Billingz® website at billingz.com and any subdomains, content, and services made available through it ("the Site").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. These Terms are written in English; a Bulgarian translation can be provided upon request.

These Terms cover the use of the Site and related communications. When the Billingz product launches, separate Subscription Terms will govern paid use of the product itself. Until then, these Terms apply to all visitor and prospective user interactions.

Throughout these Terms, "Billingz", "we", "us", and "our" refer to Billingz EOOD. "You" refers to any visitor or user of the Site.

2. What the Site offers

The Site presents information about Billingz, our planned products and services, and offers ways to:

• Learn about the Billingz approach to financial control for freelancers and micro-businesses
• Sign up for early access lists, the Founder Circle, or related programs
• Contact us with questions, feedback, or partnership and investor inquiries
• Access company information, blog posts, and other publicly available content

The Site may evolve significantly as the product develops. We may add, change, or remove features at any time without notice.

3. Acceptable use

By using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law
• Attempt to interfere with, disrupt, or compromise the security of the Site, its servers, or related infrastructure
• Submit false, misleading, or fraudulent information through any form on the Site
• Impersonate any person or entity, or misrepresent your affiliation with anyone
• Attempt to access any portion of the Site, account, or system not intended for public access
• Use automated means (scrapers, bots, crawlers) to extract data from the Site beyond what is allowed by our robots.txt or by reasonable industry norms

• Reverse-engineer, decompile, or attempt to derive source code from any part of the Site or its underlying technology

We reserve the right to restrict or terminate access for any visitor who violates these rules, without prior notice.

All content on the Site, including text, graphics, logos, images, software, design, and underlying code, is the property of Billingz EOOD or its licensors and is protected by copyright, trademark, and other intellectual property laws.

The "Billingz" name and logo are trademarks of Billingz EOOD. The Billingz word mark is registered as European Union Trade Mark No. 019289324.

You may view, share, and reference content from the Site for personal, non-commercial purposes, provided you do not remove copyright or other proprietary notices and do not present our content as your own. You may not copy, reproduce, modify, distribute, or commercially exploit any content from the Site without our prior written permission.

5. Submissions and feedback

If you submit feedback, suggestions, ideas, or other materials to us through the Site or by email ("Submissions"), you grant Billingz a non-exclusive, worldwide, royalty-free, perpetual right to use those Submissions for any purpose, including improving the Site and our products.

You confirm that any Submissions you make are your own original work and do not violate any third-party rights. We are under no obligation to act on, respond to, or compensate you for any Submission.

6. Privacy

Our handling of personal data is described in our Privacy Policy. Use of cookies is described in our Cookie Policy. By using the Site, you acknowledge those documents.

7. Third-party links and services

The Site may include links to third-party websites or embed third-party content. We do not control these third parties and are not responsible for their content, policies, or practices. Following an external link is at your own risk.

8. No professional advice

Content on the Site is provided for general informational purposes only. It is not intended as, and should not be relied upon as, legal, financial, accounting, tax, or other professional advice. You should consult qualified professionals before making decisions based on content from the Site.

Billingz is a software platform and does not provide financial services, banking, or regulated investment advice.

9. Disclaimers

The Site is provided "as is" and "as available." To the maximum extent permitted by applicable law, Billingz makes no warranties of any kind, express or implied, regarding the Site, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You access and use the Site at your own risk.

10. Limitation of liability

To the fullest extent permitted by applicable law, Billingz EOOD, its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded under applicable law. In particular, these Terms do not affect your statutory rights as a consumer under Bulgarian or EU consumer protection law.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated through the Site or by direct notice where appropriate. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, including if we believe you have violated these Terms. The provisions of these Terms that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, and governing law, will remain in effect.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Bulgaria, without regard to its conflict-of-law principles.

Any dispute arising out of or in connection with these Terms or your use of the Site that cannot be resolved amicably will be subject to the exclusive jurisdiction of the competent courts in Sofia, Bulgaria, except where mandatory law in your country of residence requires otherwise.

If you are a consumer in the European Union, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Billingz regarding your use of the Site, and supersede any prior agreements or understandings.
